1. Hong Kong Company Registration Requirements

Main requirements for registration of a Hong Kong private limited company:

 

Company name:

1. The company name must be unique.

2. The company name shall not contain any restrictive words.

3. The company name can be either English or Chinese, and one English and one Chinese name can be registered.

 

Equity:

1. The minimum issue capital shall be hk $1.

2. There is no maximum amount of issued capital stock.

3. Each shareholder shall bear only limited liability for the invested capital.

4. Issued capital stock does not equal the minimum deposit required for opening a bank account.

 

Shareholders and directors:

1. At least one shareholder and at most 50 shareholders.

2. Individual director shall be at least one person and at least 18 years of age.

3. Shareholders and directors may be companies.

4. Shareholders and directors may be the same person or the same company.

5. Shareholders and directors may be individuals of any nationality or residing anywhere.

 

Company secretary:

A company must appoint a secretary.

2. The secretary must be a person ordinarily resident in Hong Kong, a Hong Kong licensed accounting professional, a Hong Kong licensed legal professional or a trust or company services licensee.

3. If the shareholder and director are not the same person, one of them may be appointed secretary of the company.

4. If the only director is the same person, a third person shall be appointed as the company secretary.

5. The position of secretary shall not be concurrently held by the sole director of the company.

 

Registered office:

1. The company shall have an office address in Hong Kong.

2. The Hong Kong registered office address of the company is the legal address of the company for receiving notices and procedures and is different from the business address.

 

Register of important controllers:

Starting from March 1, 2018, companies incorporated in Hong Kong must:

1. Take reasonable steps to identify the company's key controllers.

2. Give notice to and obtain the information required by a significant controller.

3. Record and keep up to date information about its material controllers on the > of the register of material controllers.

4. Keep the register of material controllers > and at the registered office of the company or elsewhere in Hong Kong

5. Allow law enforcement officers to inspect the register of significant controllers >.

Failure to maintain the register of significant controllers > is a criminal offence.The company and each of its responsible persons are liable to a level 4 fine of hk $25,000.An additional fine of hk $700 per day, if applicable.

 

Designated representative:

Starting from March 1, 2018, companies incorporated in Hong Kong must:

1. Designate at least one person as the company's designated representative > to provide relevant assistance to law enforcement officers in the company's register of significant controllers >.

2. Appoint any of the following persons as the designated representative of the company:

(a) the shareholders, directors or employees of the company and must be natural persons residing in Hong Kong, or

(b) a Hong Kong licensed accounting professional, a Hong Kong licensed legal professional or 'a trust or company serving a Hong Kong licensee'.

 

Continuous compliance:

1. The company shall comply with its legal obligations under the companies ordinance and continue to file annual returns and specified forms within the prescribed time limit.

1. Profits arising in Hong Kong are subject to profits tax. Only profits arising in or arising from Hong Kong are subject to profits tax in Hong Kong.

2. If the profits are derived from outside Hong Kong, they may be regarded as offshore sources and untaxed in Hong Kong

3. With effect from April 1, 2018, the profit tax rate of the first 2 million yuan profits of the limited company will be reduced to 8.25%, and the subsequent profits will continue to be taxed at 16.5%.In Hong Kong, many corporate expenses are tax deductible.

 

 

2. How to register a Hong Kong company

 

Procedures for the establishment of the new Hong Kong limited:

1. The customer shall set the company name

2. Please fill in the online application form (please click here to download) and submit it to us together with the id card or passport copy of the shareholder/director/secretary of the company and address proof.(please email fw.licenses@yahoo.com)

3. We will check whether the company name adopted by the customer can be registered

4. We will send special personnel to contact with customers and verify their identity

5. After the required materials are reviewed, we will email the bill to the customer.

6. After the customer pays, we will prepare the official registration documents.

7. The customer can sign the formal registration document in person in our company, or we can email the relevant document to the customer, and the customer can sign and return the original to us.

8. We submit formal registration documents to the companies registry.

9. Company registration certificate, business registration certificate and company green box should be completed (about 7-10 working days, subject to the processing time required by the companies registry).

10. We will inform the customer to pick up the relevant company documents and the company documents box. The customer can pick up the relevant company documents at our company or we will express the relevant documents to the customer.
